OpenAI Converts to For-Profit, Ending Legal Saga

OpenAI has completed a major recapitalization, unifying its structure under the newly established OpenAI Foundation, which now controls the for-profit arm and holds equity valued at $130 billion. This makes it one of the most well-funded philanthropic entities ever. The Foundation gains additional ownership as the company grows, ensuring OpenAI’s commercial success directly fuels its mission to benefit humanity. It begins with a $25 billion commitment toward two goals: accelerating medical breakthroughs through open health datasets and supporting AI resilience, developing safeguards to ensure AI systems remain beneficial and secure. The reorganization, approved after regulatory discussions with California and Delaware, reinforces OpenAI’s founding mission and governance: balancing innovation, safety, and global benefit.
